Overview
Welcome to Resawell. The terms “we,” “us,” and “our” refer to Resawell. Resawell operates this online store and the related information, content, features, tools, products, and services (collectively, the “Services”). The Services are hosted by Shopify, which provides the commerce platform used to make the Services available.
These Terms of Service, together with the policies linked or incorporated below (collectively, the “Terms”), describe your rights and responsibilities when you access or use the Services.
Please read these Terms carefully. They include important provisions about orders, payments, acceptable use, warranties, liability, and disputes. By accessing or using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility, Access, and Accounts
You represent that you have reached the age of majority in your country or region of residence. If you permit a minor dependent to use the Services through a device or account you control, you are responsible for that use to the extent permitted by law.
You may need to provide contact, billing, payment, and shipping information. You represent that information submitted to the Services is current, complete, and accurate and that you have the right to provide it.
You are responsible for protecting account credentials and for activity under your account. You must not sell, transfer, assign, or license your account to another person.
2. Products and Store Information
We make reasonable efforts to describe and display products accurately. Colors, textures, dimensions, and appearance may vary because of photography, lighting, display settings, materials, measurement methods, or reasonable production differences.
Product descriptions, availability, pricing, and assortments may change. We may discontinue a product or limit quantities offered to a person, household, geographic area, or jurisdiction where permitted by law.
Nothing in this section limits a product guarantee, warranty, right, or remedy that cannot lawfully be excluded.
3. Orders
Submitting an order is an offer to purchase. Resawell may accept or decline an order in its reasonable discretion, including because of availability, suspected fraud, pricing or description errors, delivery restrictions, or payment issues. An order is accepted when Resawell sends confirmation of acceptance or dispatch, as applicable.
Please review an order before submission. We will try to accommodate a cancellation or change requested promptly, but we cannot guarantee it after processing begins. If we decline, change, or cancel an order, we will attempt to notify you using the contact information submitted with the order.
Returns and exchanges are governed by our Refund Policy. Purchases are intended for personal or household use and not for unauthorized commercial resale or export.
4. Prices, Taxes, and Payment
Prices, discounts, and promotions may change without advance notice. The price charged is the price displayed when the order is submitted, subject to correction of an obvious error and applicable law. Unless expressly stated, listed prices do not include shipping, handling, customs duties, import charges, or taxes.
A promotion may have separate terms. If its terms conflict with these Terms solely in relation to that promotion, the promotion terms control.
You agree to provide accurate payment and billing information and to update account information when necessary. You represent that you are authorized to use the selected payment method and agree to pay the displayed charges, including applicable shipping and taxes.
5. Shipping and Delivery
Delivery dates and timeframes are estimates unless expressly stated otherwise. Carrier operations, customs processing, severe weather, address issues, local disruptions, and events outside our reasonable control may cause delays.
Questions concerning processing, tracking, import charges, lost parcels, and delivery issues are addressed in our Shipping Policy. Title and risk of loss pass as determined by applicable law.
6. Intellectual Property
The Services, including the Resawell name and logos and the store’s original text, images, graphics, videos, audio, layout, and design, are owned by or licensed to Resawell and are protected by applicable intellectual-property laws in Hong Kong and other jurisdictions and by applicable international conventions.
We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for lawful personal, non-commercial purposes. Except where the law permits otherwise or Resawell gives prior written permission, you must not reproduce, modify, distribute, republish, publicly display, commercially exploit, or create derivative works from protected material.
Shopify and other third-party names, logos, products, and services remain the property of their respective owners. No license is granted except as expressly stated.
7. Optional and Third-Party Tools
The Services may provide access to tools or functionality supplied by third parties. We may not monitor or control those tools. Unless Resawell expressly states otherwise, third-party tools are provided on an “as available” basis and your use may be governed by the provider’s terms.
Review the relevant third-party terms before using an optional tool. We may add new store features, tools, or resources, and those additions will form part of the Services and be subject to these Terms.
8. Third-Party Links
The Services may contain links or embedded features supplied by third parties. Resawell does not control and is not responsible for third-party content, accuracy, availability, security, or privacy practices.
If you choose to use a third-party website or service, review its terms and policies. Questions about a third party’s products or services should be directed to that third party. Nothing in this section limits liability that cannot lawfully be limited.
9. Relationship with Shopify
Shopify provides the platform that hosts the Services, but purchases made through the store are transactions directly with Resawell. Shopify is not the seller of products offered by Resawell. To the extent permitted by law, Shopify is not responsible for the performance of a sales contract between you and Resawell.
10. Privacy
Personal information collected through the Services is handled according to our Privacy Policy. Shopify also processes certain information as described in the Shopify Consumer Privacy Policy.
11. Reviews, Comments, and Other Submissions
If you submit a review, comment, image, suggestion, or other content (“User Content”), you grant Resawell a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, publish, translate, distribute, and display that User Content for operating, improving, and promoting the Services, subject to applicable privacy law.
You represent that you own or have the necessary rights to submit the User Content, have disclosed any incentive connected with it, and that the submission is accurate and lawful. User Content must not infringe intellectual-property, privacy, publicity, or other rights; contain unlawful, abusive, deceptive, or obscene material; or introduce malicious code.
We may moderate or remove User Content that violates these Terms, but we are not required to monitor every submission. You remain responsible for your User Content.
12. Errors and Corrections
The Services may occasionally contain typographical errors, inaccuracies, or omissions relating to descriptions, pricing, promotions, shipping charges, transit estimates, or availability. Subject to applicable law, Resawell may correct or update information and may cancel an affected order. If an order is cancelled after payment, the applicable amount will be refunded.
13. Prohibited Uses
You may use the Services only for lawful purposes. You must not:
- Use the Services to violate law or the rights of Resawell or another person.
- Submit false, misleading, defamatory, threatening, harassing, obscene, or unlawful content.
- Impersonate another person or misrepresent an affiliation.
- Send spam, phishing messages, malicious code, or other harmful material.
- Collect or track another person’s information without lawful authority.
- Interfere with the security, integrity, availability, or operation of the Services.
- Bypass access controls, rate limits, robot exclusions, or other technical restrictions.
- Copy, scrape, extract, sell, or exploit the Services or their content except as expressly permitted by Resawell or applicable law.
We may suspend or terminate access if we reasonably believe these restrictions have been violated.
14. Suspension and Termination
Resawell may suspend or terminate access to all or part of the Services where reasonably necessary to protect the Services, comply with law, respond to a violation of these Terms, or discontinue a feature. You remain responsible for amounts due before termination.
Provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, User Content, disclaimers, liability, indemnification, governing law, and disputes.
15. Disclaimers
General information made available through the Services may not be complete or current. You are responsible for evaluating information before relying on it.
TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT FOR WARRANTIES OR GUARANTEES EXPRESSLY PROVIDED BY RESAWELL OR REQUIRED BY LAW, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, OR NON-INFRINGEMENT.
We do not warrant that access to the Services will always be uninterrupted, timely, secure, or error-free. Some jurisdictions do not permit certain exclusions, so part of this section may not apply to you.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RESAWELL AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, SAVINGS, DATA, OR REPLACEMENT COSTS, ARISING FROM OR RELATED TO THE SERVICES OR A PRODUCT, WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANOTHER THEORY, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
Nothing in these Terms excludes or limits liability, a warranty, a consumer right, or a remedy that cannot lawfully be excluded or limited.
17. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Resawell, Shopify, and their respective affiliates, directors, officers, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, and reasonable legal fees arising from your material breach of these Terms, your unlawful use of the Services, or your violation of another person’s rights.
We will provide reasonable notice of an indemnifiable claim. You will provide reasonable cooperation in the defense. We will not agree to a settlement imposing a non-monetary obligation on you without your consent, which will not be unreasonably withheld.
18. Severability
If a provision of these Terms is found unlawful, void, or unenforceable, it will be enforced to the greatest extent permitted or severed to the minimum extent necessary. The remaining provisions will continue in effect.
19. Waiver and Entire Agreement
A failure to enforce a provision is not a waiver of that provision or any other right.
These Terms and the policies incorporated into them form the entire agreement between you and Resawell concerning the Services and replace prior communications or proposals on the same subject, except for any separate written agreement that expressly applies.
20. Assignment
You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. Resawell may assign or transfer these Terms in connection with a reorganization, financing, merger, sale, or transfer of all or part of the business, subject to applicable law.
21. Governing Law and Jurisdiction
Orders placed with Resawell are processed in accordance with the laws of the Hong Kong Special Administrative Region.
These Terms and any separate agreement through which Resawell provides the Services are governed by and construed under the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. The courts of the Hong Kong Special Administrative Region have non-exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.
Nothing in this section deprives you of a mandatory consumer protection available in your country or region of residence or prevents you from bringing a claim in a court or forum available to you under such law.
22. Changes to These Terms
The current version of these Terms will be available on this page. We may revise the Terms to reflect changes in the Services, business practices, or legal requirements. We will post the revised version, update the date above, and provide any additional notice required by applicable law.
Your continued use of the Services after revised Terms take effect constitutes acceptance where permitted by law. Changes will not retroactively reduce rights relating to an order already accepted unless the law permits it.
